INTERPRETATION AND LANGUAGE ASSISTANCE SERVICES AGREEMENT

Terms & Conditions

Effective Date: Upon submission of client intake form

This Terms of Service Agreement ("Agreement") is entered into by and between Carlos Barahona (the "Contractor") and the individual submitting the online form (the "Client"). By submitting the form and checking the box I agreeing to these Terms of Service, the Client acknowledges that they have read, understood, and accepted all terms contained herein.

This Agreement applies to all interpretation and language assistance services provided by the Contractor or any Qualified Interpreter assigned by the Contractor, and remains in effect for each appointment booked by the Client, unless otherwise superseded in writing.

1. Scope of Services

Contractor, or any Qualified Interpreter assigned by the Contractor, shall provide interpretation and general language assistance services as requested by the Client. Interpretation services involve the verbal translation of spoken words in real-time and may include, but are not limited to, DMV visits, verbal explanation of official documents, business registration support, or other verbal interpretation needs. This Agreement does not cover written translation services of documents or texts.

Contractor may assign services to another Qualified Interpreter at their discretion. All assigned interpreters will meet reasonable standards of language proficiency and professionalism. If a substitution is made after the appointment is scheduled, the Contractor will notify the Client as soon as practicable.

Contractor, or any Qualified Interpreter assigned by the Contractor, may also assist the Client in completing forms and paperwork by filling out documents based solely on the Client’s instructions. However, the Client is responsible for reviewing and personally signing all documents. Neither the Contractor nor any assigned interpreter provides legal, tax, or business advice, and will not sign documents on behalf of the Client or act as a legal representative.

Appointment bookings are not confirmed until the required deposit has been received.

2. Definitions

For the purposes of this Agreement:

  • Contractor refers to Carlos Barahona, whether acting as an individual or on behalf of a business entity they own or operate. This may include any legally authorized successor or assignee.

  • Client refers to the individual or entity requesting interpretation or administrative assistance services.

  • Qualified Interpreter refers to any individual assigned by the Contractor to provide services under this Agreement, as further defined in Section 3.

3. Interpreter Assignment

The Contractor may personally perform the interpretation services or may assign a qualified interpreter to fulfill the appointment. A “qualified interpreter” under this Agreement is defined as an individual who:

  1. Is fluent in both English and the target language;

  2. Has experience, or a demonstrated ability, to provide interpretation in administrative settings such as DMV visits, school registration, housing applications, business licensing, or other similar public service interactions, but not limited to these.

  3. Understands and agrees to comply with the confidentiality and professional conduct standards required under this Agreement.

Assigned interpreters may be either employees of the Contractor or independent contractors engaged for the purpose of fulfilling this Agreement. Regardless of employment classification, the Contractor remains responsible for ensuring that the interpretation services provided meet the standards and obligations set forth in this Agreement.

4. No Legal Advice

Client understands and agrees that neither the Contractor nor any interpreter assigned by the Contractor is an attorney, is licensed to practice law, or will provide legal advice of any kind. All services provided under this Agreement are limited strictly to language interpretation and general administrative assistance.

5. Client Responsibility

Client agrees to provide all necessary and accurate information, documentation, and materials required for the Contractor to perform the agreed-upon services in a timely and effective manner. Contractor shall not be held responsible for delays, miscommunication, errors, or failed outcomes resulting from incomplete, inaccurate, or withheld information provided by the Client.

While the Contractor may, as a courtesy, inform the Client of common documents or materials typically required by the DMV, any company, or any federal, state, or local agency or third-party entity, it is ultimately the Client’s sole responsibility to verify and ensure that they bring all required documentation, identification, and materials to their appointment. The Contractor shall not be held liable for any denial of service, delay, or rescheduling caused by the Client’s failure to bring necessary items.

6. Third-Party Decisions Disclaimer

Contractor shall not be held responsible or liable for the decisions, actions, or omissions of any third party, including but not limited to government agencies such as the Department of Motor Vehicles (DMV), business registration authorities, or other service providers. This includes, without limitation, the denial of services, delays in processing, rejection of documents, or any adverse outcomes resulting from the Client’s case or filings. Contractor's role is limited to interpretation and general administrative assistance as described in this Agreement, and does not guarantee any outcome, approval, or result from third-party entities.

7. Non-Discrimination Policy

Contractor provides services without discrimination on the basis of race, color, religion, sex, gender identity, sexual orientation, national origin, age, disability, immigration status, or any other protected status under applicable federal, state, or local law. All clients will be treated with respect, dignity, and professionalism.

8. Limitation of Liability and Use of Interpreted Information

Contractor shall not be held liable for any damages, claims, misunderstandings, delays, or misinterpretations that may arise from the services provided under this Agreement, except in cases of gross negligence or intentional misconduct.

The Client assumes full responsibility for how the interpreted or document assistance is used and understands that the Contractor does not provide legal, tax, or business advice. The Contractor will not sign documents on behalf of the Client and is not responsible for errors resulting from the Client’s failure to review documents before submission.

In no event shall the Contractor’s total liability exceed the amount paid by the Client for the appointment giving rise to the claim.

9. Confidentiality

Contractor agrees to keep confidential all personal and sensitive information received from the Client in the course of providing services, except as may be required by law.

If this Agreement is transferred to a third party, such as a business entity, service provider, or in the event of a sale, merger, or transfer of ownership of the Contractor’s business, the Contractor may also transfer client information — including, but not limited to, the Client’s name, date of birth, address, phone number, and documentation related to services provided under this Agreement — to the new owner or successor.

The Client acknowledges and agrees to this potential transfer of information for the sole purpose of continuing services and recordkeeping. All such third parties shall be required to maintain the same level of confidentiality as the Contractor. Client information will never be sold or shared for marketing purposes without the Client’s written consent.

The Client further acknowledges that the Contractor may disclose personal information if required to do so by law, regulation, subpoena, or court order.

10. Payment Terms

Client agrees to compensate Contractor at a rate of $75 per hour unless otherwise agreed in writing. A non-refundable deposit of $75 is required to confirm the appointment and will be applied toward the total service fee. The remaining balance is due upon completion of the appointment. Additional time beyond the first hour will be billed at the Contractor’s current hourly rate, unless a written promotion is in effect, in which case the Client will be charged according to the promotional rate. Invoices will be issued electronically unless the Client requests otherwise.

11. Discounts and Promotions

Contractor may offer promotional rates or discounts at their sole discretion. All such offers must be clearly communicated in writing (e.g., invoice, email, text message, social media direct message (DM), or public post) before the appointment is confirmed. Promotions apply only to the appointment(s) specifically referenced in that communication and will not apply retroactively.
Promotional offers will include eligibility criteria and expiration terms, and the Client must receive written confirmation of any applicable promotion before submitting payment or agreeing to these Terms of Service.

12. Deposit and Cancellation Policy

To confirm an appointment, the Client must submit a non-refundable deposit of $75. This deposit secures the scheduled time and covers administrative coordination, communication, and preparation. The deposit is applied toward the first hour of interpretation services.

If the Client cancels the appointment for any reason, the $75 deposit will be forfeited and will not be refunded. However, if the Contractor or any third party to whom this Agreement has been legally assigned cancels the appointment, the Client will be entitled to a full refund of the deposit.

Cancellations may be submitted by the Client at any time prior to the scheduled appointment start time via text message, direct message (DM), or email. To initiate a cancellation, the Client must clearly communicate their intent by responding with the word “CANCEL” to any official communication from the Contractor. The Contractor will then reply with a confirmation message, such as “Your appointment has been canceled.” The cancellation will be considered finalized only upon the Contractor’s confirmation message.

The Contractor reserves the right to cancel an appointment at any time for any reason. In such cases, the Contractor will notify the Client by sending a message clearly stating that the Contractor has chosen to cancel the appointment.

Rescheduling an appointment is treated as a cancellation because it requires the Contractor to reserve a new time slot and potentially lose availability to other clients. The Client may request a new appointment time, but doing so does not entitle them to a refund or credit of the original deposit.

13. Rescheduling Policy

If the Client wishes to reschedule a previously scheduled appointment, the Client acknowledges and agrees that this request will be treated as a cancellation of the original appointment. As such, the Client will forfeit the original non-refundable $75 deposit.

To secure a new appointment date and time, the Client must enter into a new INTERPRETATION AND LANGUAGE ASSISTANCE SERVICES AGREEMENT. Rescheduling is therefore subject to the same deposit and cancellation requirements (i.e., a non-refundable $75 deposit must be submitted to confirm the new appointment).

However, the new appointment may not guarantee the same availability or hourly rate as the original appointment.

14. Accepted Payment Methods

Payments may be made via cash, Cash App, Zelle, or wire transfer. All payments are considered final once received. The Contractor reserves the right to refuse any payment method not listed in this Agreement unless otherwise agreed in writing.

15. Appointment Time and Billing

Billing for services will begin at the scheduled appointment time, which must be agreed upon in writing (e.g., via email, text message, or direct message on social media) between the Client and Contractor. If the Contractor or assigned Interpreter arrives late, billing will begin upon their actual arrival. Billing will end once the session concludes, and the total duration will be rounded up to the nearest full hour. For example, a session lasting 2 hours and 1 minute will be billed as 3 hours.

The total amount due will be based on the final session length and the applicable hourly rate (standard or promotional). This amount will be provided to the Client in the final invoice following the appointment.

Invoices are due within seven (7) calendar days of being issued. If payment is not received within this period, the Contractor may pursue reasonable collection efforts, including follow-up messages, mailed notices, or referral to a collections agency. The Client may be held responsible for any costs incurred from such efforts, including legal or administrative fees.

16. Assignment

Contractor may assign or transfer this Agreement, in whole or in part, to a successor entity in the event of a business sale, merger, or other legal transfer. In such case, the successor shall assume all rights and obligations under this Agreement. However, the Client’s information will only be shared or transferred for record-keeping or service continuation purposes, and only in compliance with applicable privacy laws. No material changes to services will be made without notice to the Client.

17. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the Commonwealth of Virginia. Any disputes arising from this Agreement shall be resolved in the courts of the Commonwealth of Virginia.

18. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or under any applicable law, such provision shall be severed from this Agreement and the remainder of the Agreement shall continue in full force and effect.

19. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings.

20. Electronic Signatures

The parties acknowledge and agree that electronic signatures, whether in the form of scanned, typed, or digital signatures, are considered legally binding for the execution of this contract. The use of electronic signatures is valid and enforceable, and the contract shall have the same legal effect as if it were signed in ink on paper. The parties further agree that this contract, along with any related documents, may be electronically signed, transmitted, and stored, and that such electronic signatures shall be deemed to be the original signatures for all purposes.

21. Client Acknowledgment

By signing below, the Client acknowledges that they have read, understood, and agreed to all the terms and conditions contained in this contract. The Client further acknowledges that they have had the opportunity to seek legal advice or clarification on any provisions within this contract, and that they are entering into this agreement voluntarily and with full awareness of its implications.

22. Force Majeure

Neither party shall be held liable for any failure or delay in performing their obligations under this Agreement if such failure or delay is caused by circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, extreme weather, war, terrorism, public health emergencies, labor strikes, power outages, or governmental actions or restrictions. In the event of such circumstances, both parties agree to communicate promptly and make reasonable efforts to reschedule or adjust the services as needed.

23. Limitation on Use of Services

Services provided under this Agreement are intended solely for the personal, legal, or business use of the Client and may not be transferred, sold, sublicensed, or otherwise provided to any third party without the prior written consent of the Contractor. Any unauthorized use or redistribution of the services may result in immediate termination of the Agreement and may subject the Client to legal action.

24. Indemnification

Client agrees to indemnify, defend, and hold harmless the Contractor, including any successors, assigns, affiliated entities, or individuals assigned by the Contractor to perform interpretation services under this Agreement, from and against any and all claims, damages, liabilities, losses, costs, or expenses (including reasonable attorney’s fees) arising out of or related to the Client’s use or misuse of the services provided under this Agreement. This includes, but is not limited to, any claims resulting from inaccurate information provided by the Client, misuse of interpreted information, or actions taken by the Client based on the services received.

25. Legal Fees and Disputes

In the event of any legal action, claim, or dispute arising from or relating to this Agreement, each party shall be responsible for their own legal fees and costs, except in the case of a payment dispute brought by the Contractor to recover unpaid service fees. In such cases, the Client shall be responsible for all legal fees, court costs, and reasonable expenses incurred by the Contractor in enforcing this Agreement.

26. Notices

All notices, requests, demands, or communications under this Agreement shall be made in writing and shall be deemed delivered:

  • When sent by email or text message to the contact information provided by the receiving party, provided there is confirmation of delivery (such as a “delivered” status, read receipt, or screenshot of successful transmission);

  • When sent by certified or registered mail with return receipt requested, regardless of whether the recipient signs for or claims the mail, so long as the sender retains proof of mailing and attempted delivery;

  • Or when delivered in person.

Either party may update their contact information by providing written notice to the other party in accordance with this clause.

27. Amendment

This Agreement may only be amended, modified, or supplemented by a written document signed by both the Contractor and the Client. Verbal agreements or informal communications shall not be considered valid amendments to this Agreement.

28. Interpreter Conduct and Standards

All services provided under this Agreement, whether by the Contractor or a Qualified Interpreter assigned by the Contractor, shall be performed in a professional, courteous, and culturally sensitive manner. If the Client experiences any concerns regarding the conduct or quality of an assigned interpreter, they agree to raise such concerns promptly for review. Contractor reserves the right to determine, at their sole discretion, the appropriate resolution or whether any action is warranted.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first written above.
